Terms of Service
Please read these Terms of Service (“Terms,” “Terms of Service,” or “Agreement”) carefully before using the website, AI Clarity Sessions, workshops, webinars, AI Search Optimization reports, and related services (collectively, the “Services”) operated by Human Kind Intelligence, LLC (“HKI,” “we,” “us,” or “our”).
Summary of Key Terms
By using our Services, you agree to:
- Use the Services only for lawful, legitimate business purposes
- Not share your login credentials or session materials with people who haven't paid for them
- Accept that once a session or workshop has started, it is not refundable, though it can be rescheduled with notice
- Resolve disputes through binding arbitration
- Our disclaimers about business results and outcomes
Important notes:
- You must be 18 or older to use our Services
- We keep your business information confidential, and you own the deliverables we prepare for you
- We don't guarantee specific business, financial, or efficiency results
- Your use of our Services is governed by Florida law
1. Agreement to Terms
By accessing, browsing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.
If you do not agree to these Terms, please do not use our Services. We recommend saving a copy of these Terms for your records.
2. Eligibility and Age Requirements
Minimum age. You must be at least 18 years old to use our Services or make a purchase. By using the Services, you represent that you are.
Authority. If you are using the Services on behalf of a business, you represent that you have the authority to bind that business to these Terms.
Restricted persons. You may not use our Services if you have been previously banned from them, are located in a country subject to U.S. government embargo, appear on a U.S. government list of prohibited or restricted parties, or cannot otherwise enter into a binding contract under applicable law.
3. Accounts and Client Records
If any part of our Services requires you to create an account or client profile, whether through our website, our scheduling and client platform, or a future membership community, you agree to provide accurate, current information and to keep it up to date.
You're responsible for keeping your login credentials confidential and for any activity under your account. Don't share your credentials, and let us know right away at hello@humankindintelligence.ai if you suspect unauthorized access. Accounts are personal to you and are not transferable.
4. Purchases, Payments, and Billing
Purchase authorization. When you make a purchase, you agree to provide accurate payment information, keep it current, and pay all charges and applicable taxes at the price in effect at the time of purchase.
Payment processing. We accept payment through Stripe. By providing payment information, you authorize Stripe to store it and authorize us to charge it for the amounts you owe. Your use of Stripe is also subject to Stripe's own terms and privacy policy, and we're not responsible for Stripe's errors or actions.
Pricing. Prices are in U.S. dollars unless stated otherwise. We can change our prices at any time, but a price change never affects a purchase you've already completed. If we make a pricing error, we may cancel the order rather than honor the incorrect price.
Taxes. You're responsible for any applicable taxes on your purchase, unless we're legally required to collect them.
Failed payments. If a payment fails, we may pause access to the paid Service until it's resolved. You remain responsible for any amount owed.
5. Refunds, Rescheduling, and Cancellations
Most of our Services are delivered live: the AI Clarity Session, BYOM setup, and workshops are all real-time engagements, not pre-recorded content you access on your own schedule.
Rescheduling. You can reschedule a Clarity Session or BYOM setup with at least 24 hours' notice, or a workshop with at least 48 hours' notice, at no charge. Contact hello@humankindintelligence.ai to reschedule.
Refunds. Once a session or workshop has started, it is not refundable. If you need to cancel outright rather than reschedule, contact us before your scheduled start time, and we'll work with you.
Webinars. Free webinars may be rescheduled or canceled by us at our discretion. If we ever charge for a webinar, the workshop rescheduling and refund rules above apply to it.
AI Search Optimization reports. These are report-based engagements rather than live sessions. You can cancel for a full refund any time before we begin work on your report. Once work has begun, the engagement is non-refundable, though we'll always work with you to make the deliverable right. We'll confirm the expected delivery timeframe when you purchase.
Technical issues. If a technical problem on our end prevents you from attending or accessing something you've paid for, tell us right away at hello@humankindintelligence.ai. We'll work to fix it, and if we can't resolve it within a reasonable time, we'll offer a reschedule, credit, or refund.
Future digital products. If we introduce pre-recorded or on-demand content in the future, such as a recorded workshop or course library, access to that content becomes non-refundable once you've viewed or downloaded any portion of it. We'll update this section with the specifics before offering anything like that.
Exceptions. We may issue a refund at our discretion for billing errors, duplicate charges, or a Service we genuinely couldn't deliver.
Chargebacks. If you dispute a charge with your card company instead of contacting us first, and we later determine the charge was legitimate, we may treat that as a violation of these Terms, which can mean losing access to future Services. If you think you were charged in error, email hello@humankindintelligence.ai first. We're glad to fix a genuine mistake.
Requesting a refund. Email hello@humankindintelligence.ai with your purchase date and the reason for your request. We'll respond within five business days, and process any approved refund to your original payment method within five business days after that.
6. Intellectual Property Rights
Our ownership. The Services and everything in them, including our website, session materials, worksheets, templates, our proprietary Clarity Session process and methodology, and our training and workshop content, belong to HKI or our licensors and are protected by copyright, trademark, and other intellectual property law. Your deliverables are the exception: see Section 7.
Trademarks.“Human Kind Intelligence,” “HKI,” our logo, and “Empowering the Human Side of AI” are trademarks and brand assets of HKI. You may not use them without our written permission.
Your acknowledgment. Using our Services doesn't give you any ownership in our intellectual property beyond your deliverables as described in Section 7. All rights we haven't expressly granted you, we keep.
7. Limited License and Your Deliverables
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access our Services and materials for your own personal or internal business use.
You may: access content you've paid for or been given access to, download materials we've marked as downloadable, print copies for your own reference, and use what you learn to run your own business.
You may not: copy, record, screenshot, or redistribute our session recordings, workshop content, templates, or training materials to anyone who hasn't paid for them; share your login credentials; create derivative products from our materials for commercial use; remove our copyright or trademark notices; or use automated tools to scrape our Services.
Your deliverables. You own the written action plan, roadmap, AI Search Optimization report, and other materials we prepare specifically for your engagement, and you can use them in your business indefinitely. HKI retains ownership of the underlying methodology, frameworks, templates, and processes we used to create them, and we're free to use that know-how in other engagements. Workshop materials and any provided recordings remain accessible to you for at least 90 days from the date of the workshop, unless we tell you otherwise in writing.
Revocation. We can revoke this license if you violate these Terms, we suspect fraud, or we discontinue a Service. If we do, you need to stop using the affected materials and delete any downloaded copies, except for your own deliverables described above, which remain yours.
8. Confidentiality
Working with us usually means telling us how your business actually runs: your workflows, your team, your tools, your numbers. We treat that information with care.
Our commitment. We will keep the non-public business information you share with us during an engagement confidential. We use it only to deliver your Services, we share it internally only with the people who need it to do that work, and we don't disclose it to third parties except for the service providers described in our Privacy Policy, who are bound to use it only on our behalf.
Exceptions. Our commitment doesn't apply to information that is or becomes public through no fault of ours, that we already knew before you shared it, that we receive independently from someone with the right to share it, or that we're required to disclose by law or valid legal process. And if you give us written permission to share something, such as in a testimonial or case study, we'll share only what you've approved.
Your side. You agree to keep confidential any non-public materials we share with you that are marked or clearly understood as confidential, consistent with the license limits in Section 7.
How long. These obligations continue for three years after your engagement ends, and indefinitely for anything that qualifies as a trade secret under applicable law.
9. Testimonials and Content You Share With Us
You may have the chance to share feedback, testimonials, reviews, or comments with us, including through email, our social channels, or a future community space.
You're responsible for what you submit. By sharing a testimonial, review, or feedback, you give HKI permission to use it, including your name, business name, and photo if provided, in our marketing and on our website, edited only for length or clarity, never in a way that changes its meaning. You can ask us to stop using it or remove it at any time by emailing hello@humankindintelligence.ai, and we'll take it down within 30 days, aside from anything already printed or in an active campaign.
We're not obligated to monitor content shared with us, and we may decline to use or may remove anything for any reason, including if it's illegal, harassing, defamatory, or otherwise inappropriate.
10. Prohibited Uses and Conduct
You agree not to use our Services to:
- Break any law, or engage in fraud or deception
- Harass, threaten, or impersonate anyone
- Try to gain unauthorized access to our systems, introduce malware, or disrupt our Services
- Infringe our intellectual property or anyone else's
- Send spam or use our Services for unauthorized commercial solicitation
- Create multiple accounts to get around a restriction, or abuse our refund process
If you violate these terms, we may warn you, suspend or terminate your access, remove your content, and where warranted, report the activity to law enforcement.
11. Future Subscription and Membership Services
We don't currently offer a subscription or paid membership. Our roadmap includes an online community and school, and we intend to publish complete terms covering enrollment, billing, automatic renewal, and cancellation before that launches. Until then, nothing in these Terms should be read as describing an active subscription service. When we do launch one, you'll be asked to accept the specific terms for it before joining.
12. Termination and Suspension
By you. You can stop using our Services at any time. If you have an active engagement or purchase, fees already paid are non-refundable except as described in Section 5.
By us. We may suspend or terminate your access if you violate these Terms, engage in fraud, misuse the Services, harass our team or other clients, or if we're required to by law. We're not liable to you for a termination made in good faith under this section.
What survives. Sections covering intellectual property, content licenses, confidentiality, disclaimers, limitation of liability, indemnification, dispute resolution, and general provisions continue to apply after these Terms end.
13. Disclaimers
“As is” and “as available.” THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, HKI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We don't warrant that the Services will be uninterrupted or error-free, or that any information we provide is complete or current. This includes AI systems and AI-assisted content, which may be temporarily unavailable and may contain errors despite the human review described in our AI Transparency Policy.
Educational purpose. Our sessions, workshops, and training content are for educational and advisory purposes. We don't warrant that any strategy or recommendation will produce a particular result for your specific business.
Not professional advice. Nothing we provide is legal, financial, tax, accounting, or medical advice. We are not attorneys, CPAs, or financial planners, and our AI-assisted research doesn't change that. Consult a licensed professional for advice specific to your situation.
Third-party content. We're not responsible for third-party content, products, or services referenced in our Services or accessible through them, including the independent actions or failures of third-party AI providers outside the scope of our agreements with them.
Your responsibility. You're responsible for verifying information before relying on it, for consulting the right professionals before acting on it, and for the decisions you make in your business.
Some jurisdictions don't allow the exclusion of certain warranties, so some of the above may not fully apply to you.
14. Business Results Disclaimer
Please read this section carefully.
HKI makes no promise or guarantee about the specific business, operational, or financial results you'll achieve from working with us or implementing what we teach. Our sessions, workshops, and materials are designed to give you clarity, education, and a plan. What you do with that plan, and the results that follow, depend on factors we don't control.
Examples and testimonials aren't typical. Any results, case studies, or testimonials we share, including our own, are accurate but represent specific circumstances. They are not average outcomes, and your results will likely differ. Past results don't predict future ones.
What affects your results: your industry and market conditions, your existing systems and team, how consistently you implement what we recommend, your available time and resources, and factors entirely outside anyone's control, like the economy or your competitors.
Your responsibility. You're solely responsible for your business decisions. You'll do your own due diligence, seek professional advice where it matters, and understand that all business activity carries risk, including the risk that a change doesn't pay off the way you hoped.
No guarantees, stated plainly. We do not promise you will save a specific amount of time or money, generate a specific return, or achieve any particular outcome from our Services. Any numbers we mention are illustrative, not promises.
This disclaimer reflects our commitment to being straight with you about what AI, and any advisor, can and can't guarantee.
15. Limitation of Liability
Please read this section carefully. It limits what you can recover from us.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HKI, ITS OWNERS, EMPLOYEES, AGENTS, AND AFFILIATES (THE “HKI PARTIES”) WILL NOT BE LIABLE TO YOU FOR ANY AMOUNT EXCEEDING THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO HKI IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
THE HKI PARTIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF BUSINESS OPPORTUNITY, REGARDLESS OF THE LEGAL THEORY, EVEN IF WE'VE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
This applies to claims arising from your use of the Services, your reliance on our content or recommendations, business decisions you make based on our Services, our use of AI as described in our AI Transparency Policy, and any interruption or error in the Services.
Basis of the bargain. These limits are part of what makes it possible for us to offer our Services at the prices we do. If you're not satisfied with the Services, your remedy is to stop using them.
Force majeure. We're not liable for delay or failure caused by circumstances beyond our reasonable control, including natural disasters, government action, internet or telecommunications failures, third-party provider outages, or a pandemic.
Exceptions. Nothing in this section excludes or limits liability for fraud or fraudulent misrepresentation, death or personal injury caused by our negligence, or any other liability that can't be excluded or limited under applicable law. Some jurisdictions don't allow these kinds of limitations, so some of the above may not fully apply to you, and you may have other rights under your state's consumer protection laws that these Terms don't waive.
16. Indemnification
You agree to defend, indemnify, and hold harmless HKI and our owners, employees, agents, and affiliates from claims, damages, and reasonable costs (including attorneys' fees) arising from your use of the Services, your violation of these Terms or applicable law, content you submit, or your infringement of someone else's rights.
We can take over the defense of a claim covered by this section, and you agree to cooperate. You may not settle a claim that affects us without our written consent.
17. Third-Party Services and Links
Our Services rely on and may link to third-party tools, including Stripe (payments), Go High Level (scheduling, communication, and client records), Granola (call recording and transcription), Zoom (webinars), Google Workspace, and AI providers including Anthropic, OpenAI, and Google.
When you interact with any of these tools directly, their own terms and privacy policies apply. We don't control them and aren't responsible for their actions or downtime. We may change, add, or substitute third-party providers to maintain service quality, improve performance, or comply with legal requirements.
Our Services may also link to other third-party websites for your convenience. We don't endorse them and aren't responsible for their content or practices.
We don't currently use affiliate links. If that changes, we'll disclose it here in accordance with FTC guidelines.
18. Dispute Resolution and Arbitration
Please read this section carefully. It affects your right to go to court and to participate in a class action.
Talk to us first. Before starting any formal dispute process, contact us at hello@humankindintelligence.ai and describe the issue. Give us 60 days to work it out with you directly. Most concerns get resolved this way.
Agreement to arbitrate. If we can't resolve a dispute informally, you and HKI agree that any claim arising from these Terms, our AI Transparency Policy, our Privacy Policy, or your use of the Services will be resolved through binding arbitration rather than in court, except as described below.
Rules and process. Arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single neutral arbitrator. The hearing will take place in Santa Rosa County, Florida, or by phone or video for claims under $25,000, or at another location by mutual agreement.
Costs. For claims under $10,000, HKI will cover the AAA filing and arbitrator fees. You'll never be required to pay arbitration costs that would make arbitration more expensive for you than going to court would have been; if the arbitrator agrees the cost is prohibitive, HKI pays it.
Class action waiver. Claims can only be brought individually, not as a class, consolidated, or representative action, and the arbitrator can't combine claims from more than one person. If this waiver is found unenforceable, the arbitration agreement (but only the arbitration agreement) becomes void, and the dispute goes to court instead.
Exceptions. Either of us may bring an individual claim in small claims court in Santa Rosa County, Florida, if it qualifies. Intellectual property claims and requests for provisional remedies (like a restraining order) can also go to court. You can always file a complaint with a government agency like the FTC or your state attorney general.
Opting out. You can opt out of this arbitration agreement by emailing hello@humankindintelligence.ai within 30 days of first agreeing to these Terms, with “Arbitration Opt-Out” in the subject line and your name and email address. The class action waiver still applies either way.
This arbitration agreement is governed by the Federal Arbitration Act and survives the end of these Terms or your use of the Services.
19. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. For any dispute not subject to arbitration under Section 18, you agree to the exclusive jurisdiction of the state and federal courts in Santa Rosa County, Florida, and you waive any objection to that venue.
Some states provide consumer protections that can't be waived by contract. If you live in one of those states, this section doesn't take those protections away from you.
20. Changes to These Terms
We may update these Terms as our Services, business practices, or legal obligations change. For a material change, we'll update the “Last Updated” date, post the change at humankindintelligence.ai at least 30 days before it takes effect, and, where we have your email, notify you at least 30 days before the change takes effect. For minor changes, like clarifications or corrections, we'll update the date without advance notice.
Continuing to use our Services after a change takes effect means you accept it. If you have an active paid engagement and disagree with a material change, contact us at hello@humankindintelligence.ai and we'll work with you.
21. General Provisions
Entire agreement. These Terms, together with our Privacy Policy and AI Transparency Policy, are the entire agreement between you and HKI about the Services, and replace any prior discussions or agreements on the same subject. If the AI Transparency Policy or Privacy Policy conflicts with these Terms on a legal term such as liability, indemnification, or dispute resolution, these Terms control.
No waiver. If we don't enforce a provision of these Terms, that doesn't mean we've given up the right to enforce it later.
Severability. If a court finds part of these Terms unenforceable, the rest remains in effect, and the unenforceable part will be narrowed just enough to make it enforceable if possible.
Assignment. You can't transfer your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a merger, sale, or reorganization.
Relationship of the parties. These Terms don't create a partnership, joint venture, employment relationship, or agency between you and HKI.
Force majeure. We're not liable for delays caused by events beyond our reasonable control.
Notices. We may notify you by email, by posting on our website, or by mail to an address you've given us. You should send us notices at hello@humankindintelligence.ai or by mail to the address in Section 22.
Interpretation. Headings are for convenience only. “Including” means “including but not limited to.” “Business days” means Monday through Friday, excluding U.S. federal holidays.
Electronic communication. You agree that our communications with you, and your acceptance of these Terms by using the Services, satisfy any requirement that an agreement be in writing and signed.
No third-party beneficiaries, except that the indemnified parties described in Section 16 can enforce that section directly.
Export controls. You agree not to use or export the Services in violation of U.S. export control laws.
California users. Under California Civil Code Section 1789.3, California residents may contact the Complaint Assistance Unit of the California Department of Consumer Affairs, 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.

By creating an account, making a purchase, or otherwise using our Services, you acknowledge that you've read and understood these Terms, that you're at least 18 years old, and that you agree to be bound by them, including the arbitration and class action waiver in Section 18.
If you don't agree to these Terms, please don't use the Services.
